This Founder Access Agreement (“Agreement”) is between:

Starky Digital Pty Ltd (ABN 29 687 389 073), trading as “StarkyApp” (“Starky”, “we”, “us”),

and

The individual or entity completing the Founder deposit payment (“Founder”, “you”).

2. Purpose of Founder Access

2.1 Founder Access is a limited pre-launch reservation offer for early supporters of the StarkyApp platform.

2.2 By paying the Founder deposit, you secure:

• Early access to StarkyApp upon public launch;
• A credit applied toward your future subscription; and
• A limited-time Founder discount as described in clause 5.

2.3 Founder Access does not provide immediate access to the StarkyApp platform.

3. Founder Deposit

3.1 The Founder deposit is A$49 (including GST, where applicable).

3.2 The deposit is a one-time payment made via Stripe at the time of reservation.

3.3 The deposit:

• Is held as an account credit;
• Is applied in full toward your first StarkyApp subscription payment; and
• Does not constitute a subscription fee.

4. Refund Policy

4.1 You may request a refund of your A$49 deposit at any time prior to activating your subscription.

4.2 Once your StarkyApp subscription has been activated and the deposit credit has been applied, the deposit becomes non-refundable.

4.3 Refund requests must be submitted in writing to info@starkyapp.com and may require confirmation of the email address used at checkout and proof of payment.

5. Founder Discount

5.1 Founders are entitled to a 40% discount on their selected StarkyApp subscription plan for a period of 12 consecutive months from the date of subscription activation.

5.2 The anticipated standard subscription fee at launch is A$75 per month, meaning the Founder rate will be A$45 per month for the first 12 months. Final pricing at launch may vary, and the 40% discount will apply to the applicable standard rate at activation.

5.3 After the 12-month Founder period expires, the subscription will renew at the standard rate in effect at that time.

5.4 The Founder discount:

• Is personal to the Founder;
• Is non-transferable; and
• Applies to one subscription account only.

6. Subscription Activation and Trial

6.1 Upon public launch of StarkyApp, Founders will be invited to activate their subscription.

6.2 All Founders receive a 14-day free trial upon activation.

6.3 If a Founder activates before official launch, the trial end date will be set to: Launch Date + 14 days.

6.4 The A$49 deposit credit will be applied to the first paid invoice following the trial period.

7. No Guarantee of Launch Date or Features

7.1 StarkyApp is currently in development.

7.2 We may delay launch, modify features, or adjust functionality prior to release.

7.3 Founder Access does not guarantee:

• A specific launch date;
• A specific feature set; or
• Continuous development timelines.

7.4 In the event of a material change to the product prior to launch, Founders may request a refund of their deposit under clause 4.

8. Relationship to SaaS Agreement

8.1 This Agreement governs the Founder deposit and pre-launch reservation only.

8.2 Upon activation of your subscription, you must agree to the StarkyApp SaaS Agreement, which will govern:

• Platform access;
• Subscription billing;
• Usage rights;
• AI credits;
• Termination; and
• Liability.

8.3 In the event of any inconsistency between this Agreement and the SaaS Agreement, this Agreement applies only until subscription activation.

9. Limitation of Liability

To the maximum extent permitted by law:

9.1 Starky’s liability in connection with Founder Access is limited to the amount of the A$49 deposit paid.

9.2 Starky is not liable for any indirect, consequential, or loss of opportunity arising from delayed launch or product changes.

10. Governing Law

This Agreement is governed by the laws of New South Wales, Australia.
